Welcome to CGD Vibes – Create, Grow, Dream. By accessing or using our platform, you agree to comply with these Terms of Service. If you do not agree with these terms, please do not use our services.

Introduction

CGD Vibes is an online marketplace and learning platform designed to buy and sell courses, digital products, and physical goods. These Terms of Service govern the use of our platform, ensuring a safe and fair experience for all users.

1. General Terms

1.1 About CGD Vibes
CGD Vibes (“we,” “our,” “us”) is an online platform where creators can share knowledge, sell products, and build communities, and where students can purchase and access learning content.

1.2 Eligibility

• You must be at least 18 years old (or the age of majority in your country) to create an account or use our platform.
• By using CGD Vibes, you confirm you can legally enter into contracts in your jurisdiction.

1.3 Accounts

• You are responsible for keeping your account login safe.
• Do not share your account with others.
• You are responsible for all activity under your account.

1.4 Changes to the Platform

• We may update, change, or discontinue features at any time.
• We are not liable if some features are added, removed, or temporarily unavailable.

1.5 Intellectual Property

• All platform content, design, logos, and trademarks belong to CGD Vibes or our partners.
• You may not copy, misuse, or falsely represent our brand.
• Users may not copy, modify, or distribute any content without permission.
• Copyright violations should be reported immediately.

1.6 Disclaimer of Warranties

• CGD Vibes is provided “as is.” We make no guarantees that the platform will be error-free, uninterrupted, or produce specific results.

1.7 Governing Law & Dispute Resolution

• These Terms are governed by the laws of Québec and the federal laws of Canada that apply there.
• If you are located in Canada, any dispute must be resolved exclusively in the courts of Montréal, Québec, Canada.
• If you are located outside Canada, any dispute will be resolved through binding arbitration in English under the rules of the American Arbitration Association (AAA). The arbitration will be conducted online or in another mutually agreed location. The decision of the arbitrator will be final and binding.
• By using CGD Vibes, you agree not to bring class actions or group claims, and to resolve disputes individually.

1.8 Limitation of Liability (What we can and can’t promise)

• To the fullest extent permitted by law, our liability is limited to the amount you paid us in the 6 months before a claim.
• We work hard to keep CGD Vibes running smoothly and to provide great content and experiences. That said, sometimes things happen, like internet outages, software bugs, or other issues beyond our control.
• We are not responsible for indirect losses such as lost profits, data loss, or business interruptions. If something goes wrong, our responsibility to you is limited. The maximum amount we’d ever be required to pay back is what you actually paid us in the 6 months before the issue. We can’t be held responsible for indirect losses such as lost business, income, or opportunities.

2. Terms for Students

2.1 Access & Use

• When you purchase a course, membership, or product, you receive a personal, non-transferable license.
• You may not share, resell, or redistribute content without permission.

2.2 Payments & Refunds

• All payments are processed securely through Stripe, PayPal, or other gateways.
• Refunds follow the refund policy stated on the product page. If no policy is stated, refunds are not guaranteed.
• Refunds may not be available once digital content has been accessed or downloaded.

2.3 Student Conduct

• You must act respectfully in communities, forums, or coaching sessions.
• Spam, harassment, or abusive behavior is not allowed and may result in account suspension without refund.

2.4 Disclaimer

• Learning outcomes are not guaranteed. Success depends on your own effort and circumstances.

3. Terms for Teachers & Revenue Partners

3.1 Content Ownership

• You retain ownership of the content you create (courses, videos, materials).
• By uploading, you grant CGD Vibes a license to host, distribute, promote, and market your content on our platform.

3.2 Accuracy & Rights

• You confirm your content does not infringe copyright, trademarks, or other rights.
• You are responsible for the accuracy of your content and any claims made within it.

3.3 Payments

• Teachers/revenue partners are paid a share of sales based on the agreed revenue split.
• Payments are processed through Stripe Connect or other methods as agreed.
• Refunds or chargebacks may be deducted from your balance.

3.4 Taxes

• If we process payments on your behalf, we may withhold or collect taxes where required.
• You are responsible for reporting your income to tax authorities.

3.5 Conduct & Suspension

• Misuse of the platform (fraud, spam, abuse) may lead to account suspension and loss of payout.

4. Terms for Marketplace Sellers

4.1 Merchant of Record

• Marketplace sellers are the merchant of record for their products.
• You are responsible for your listings, descriptions, pricing, shipping (if applicable), and compliance with laws.

4.2 Taxes

• Sellers are responsible for all taxes (VAT, GST, sales tax, etc.) unless laws require us to collect.
• You must configure your Stripe account to handle taxes properly.

4.3 Payments

• Payments are processed through Stripe Connect. Funds are sent directly to your connected Stripe account.
• We deduct our commission and fees before payout.
• Fees are non-refundable.

4.4 Compliance & Restrictions

• Products must not be illegal, unsafe, counterfeit, or infringe intellectual property.
• We may remove listings that violate our rules.
• Repeated violations may result in suspension.

5. Other Important Terms

5.1 Reviews & Feedback

• By posting reviews or feedback, you grant us permission to display and use them in marketing.

5.2 Account Termination

• You may close your account at any time.
• We may suspend or terminate accounts that break these Terms.

5.3 Updates to Terms

• We may update these Terms from time to time.
• Continued use of the platform means you accept the updated Terms.

6. Additional Protections for Platform Integrity

6.1 Right to Modify Fees & Revenue Share
We may change our pricing, commissions, or revenue share structure from time to time. If we do, we will notify you in advance. Continued use of the platform means you accept the updated terms.

6.2 Refunds & Chargebacks
Refunds and chargebacks will be deducted from a teacher’s or seller’s payout balance. If the balance is insufficient, we may recover the amount from future earnings. At the sole discretion of CGD Vibes, we may choose to absorb or cover certain refunds or chargebacks as a gesture of goodwill, but this is not an obligation.

6.3 Promotions & Discounts
By listing products or courses, you grant CGD Vibes the right to promote or discount them at our discretion for marketing purposes.

6.4 Indemnification
You agree to indemnify and hold harmless CGD Vibes, its owners, and affiliates from any claims, damages, or legal expenses arising from your content, actions, or use of the platform.

6.5 Intellectual Property Takedown
We respect intellectual property rights. If we receive a valid takedown notice, we may remove the content and suspend the responsible account.

6.6 Termination of Accounts
We may suspend or terminate any account at our discretion if we believe the user has violated these Terms, engaged in fraud, or harmed the platform.

6.7 No Guarantee of Success
We do not guarantee any level of income, sales, or success by using CGD Vibes. Results depend on your own effort, product quality, and market demand.

6.8 Privacy
By using CGD Vibes, you consent to the collection and processing of your personal data as described in our Privacy Policy.

6.9 Advertising & Brand Use
Teachers, sellers, and partners may not run online ads or promotions that use the CGD Vibes name, logo, or trademarks, or that could confuse customers into thinking they are official CGD Vibes campaigns. This includes search engine ads (e.g., Google Ads), social media ads, or any other form of paid promotion.

• Running ads on your own products or services is allowed, but you must not misrepresent or compete against CGD Vibes branding. Any violation may result in suspension or termination of your account.

6.10 Affiliate Promotions

• From time to time, students, teachers, or sellers may participate in our affiliate program to promote CGD Vibes products. Affiliates must follow our Affiliate Program rules, and may not engage in misleading practices, spam, or ad hijacking (running ads against our brand name or trademarks without permission).
• We reserve the right to withhold commissions or terminate affiliate relationships if these rules are violated.

7. Prohibited Activities & Community Standards

To keep CGD Vibes safe and fair, all users, students, teachers, sellers, and affiliates - must follow these rules. Any violation may result in suspension, termination, loss of access, or forfeiture of payouts or commissions.

7.1 Fraud & Misrepresentation

• No creating fake accounts, fake reviews, or misleading identities.
• No misrepresenting who you are, what you sell, or your qualifications.

7.2 Intellectual Property Violations

• Do not upload, sell, or teach using content you do not own or have rights to.
• No counterfeits, pirated content, or unauthorized use of third-party IP.

7.3 Advertising & Brand Misuse

• No ad hijacking: you may not run ads using the CGD Vibes brand name, logo, or trademarks without permission.
• No misleading promotions or spammy affiliate tactics.

7.4 Spam & Unwanted Content

• No spamming members with unsolicited messages, promotions, or irrelevant links.
• No excessive self-promotion in communities beyond what is reasonably allowed.

7.5 Community Conduct

• Be respectful. Harassment, hate speech, bullying, or abusive behavior is not tolerated.
• No sharing harmful, offensive, or adult content unless explicitly permitted for an appropriate category.
• Constructive discussion is welcome; toxic behavior is not.

7.6 Security & Platform Abuse

• No hacking, scraping, or attempting to bypass our systems.
• No distributing malware, viruses, or harmful code.
• No exploiting bugs for unfair advantage.

7.7 Payments & Money Handling

• No attempts to bypass CGD Vibes checkout or payment systems.
• No arranging “off-platform” sales to avoid fees.
• No fraudulent chargebacks or abuse of refund systems.

7.8 Marketplace & Seller Standards

• No unsafe, illegal, or restricted products.
• No false claims or deceptive product descriptions.
• You are responsible for following laws in your country and your customer’s country.

7.9 Consequences
Violating any of these rules may result in:

• Suspension or termination of your account.
• Removal of your content, products, or courses.
• Forfeiture of pending payouts, balances, or affiliate commissions.
• Permanent ban from the platform.

8. Termination & Enforcement

8.1 Right to Suspend or Terminate
CGD Vibes reserves the right to suspend, restrict, or permanently terminate any account, community, or access to services at our sole discretion, with or without notice, if a user violates these Terms, our Community Guidelines, or engages in behavior we determine harmful to the platform.

8.2 Grounds for Enforcement
Grounds for enforcement include but are not limited to:

• Breach of these Terms or Community Guidelines.
• Fraud, abuse of payment systems, or chargeback abuse.
• Harassment, hate speech, or abusive conduct.
• Intellectual property infringement.
• Spamming, misleading promotions, or attempts to bypass platform fees.

8.3 Consequences

• We may remove content, withhold payouts, suspend access, or permanently close accounts.
• Refunds and chargebacks may be deducted from a user’s payout balance. If insufficient, future earnings may be withheld until the debt is resolved.
• At CGD Vibes’ discretion, we may cover losses as a gesture of goodwill, but this does not create an obligation to do so.

8.4 No Liability for Termination
We are not liable to you or any third party for suspension or termination of access, loss of content, or withheld payouts resulting from violations.

8.5 Survival
Termination does not limit or waive your obligations regarding payment, taxes, intellectual property, confidentiality, or indemnification, all of which survive account closure.

8.6 Refunds & Chargebacks
Refunds and chargebacks are enforced in accordance with the CGD Vibes Refund & Chargeback Enforcement Addendum, which forms part of these Terms. By participating as a Teacher, Seller, Affiliate, or Revenue Partner, you agree that any refunds, cancellations, or chargebacks related to your products or services will be deducted from your payout balance or future earnings, as described in the Addendum.

9. Final Provisions

9.1 Force Majeure
We are not responsible for delays, failures, or interruptions caused by events outside our reasonable control. This includes, but is not limited to, natural disasters, strikes, internet or hosting outages, power failures, government restrictions, or other unforeseen events.

9.2 Children and Age Restrictions
CGD Vibes is not directed to children under 13 years old. If you are under the age of majority in your jurisdiction, you must use our platform under the supervision of a parent or legal guardian. If we learn that an account has been created by someone under 13, or by a minor without proper consent, we may delete the account.

9.3 Third-Party Services
CGD Vibes may integrate with third-party services (such as Stripe, PayPal, Formaloo, Albato, or others). We are not responsible for the terms, policies, or performance of these third-party services. Your use of those services is at your own risk and subject to their own agreements.

9.4 Ownership of Data and Analytics
All platform data, analytics, traffic reports, and usage metrics collected by CGD Vibes remain the property of CGD Vibes. Teachers, sellers, or affiliates may be granted limited access to data relevant to their own products or accounts, but such access does not transfer ownership of the data.

9.5 Survival of Terms
Certain obligations survive account closure or termination. These include: intellectual property rights, indemnification, limitation of liability, payment and tax responsibilities, dispute resolution, and governing law.

9.6 Severability
If any part of these Terms is found to be invalid, illegal, or unenforceable, the remaining parts will continue in full force and effect.

9.7 Entire Agreement
These Terms, along with our Privacy Policy, Refund Policy, and Affiliate Agreement (if applicable), constitute the entire agreement between you and CGD Vibes. They replace any prior written or verbal agreements. No user or staff conversation overrides these Terms.
