ALL SELLERS MUST:

CGD Vibes' Tax Obligations as Merchant of Record:

✓ U.S. sellers: Must report all income; IRS reporting threshold of $600 does NOT eliminate tax obligation on amounts below $600

✓ CORRECT: ALL income must be reported on tax returns; the $600 threshold only determines whether CGD Vibes/Stripe must issue a 1099-K form

✓ After maximum duration: CGD Vibes must either release funds OR provide written explanation of continued hold with evidence of ongoing legitimate concern

8.4 Payout Timing & Risk Management

Payouts are only issued once the seller's available balance meets or exceeds the minimum payout threshold. Balances below the threshold automatically roll forward to the next payout cycle.
Refunds and chargebacks are deducted from the seller's available or future earnings. If a refund or chargeback exceeds the current available balance, the seller account may temporarily reflect a negative balance, which will be offset by future earnings.
8.5 Negative Balance & Offset Rights
If your Seller account has a negative balance due to refunds, chargebacks, or fees, CGD Vibes may:

✓ Upon determination of wrongful hold: Immediate release of funds + interest at 5% annual rate from date funds should have been released

✓ This remedy does not preclude other legal remedies available to seller
Good Faith Protection:
✓ CGD Vibes is not liable for interest if hold was imposed in good faith based on reasonable concern, even if later determined to be incorrect
✓ "Good faith" means: objective evidence of potential violation, reasonable investigation conducted, hold duration proportional to investigation complexity
9. REFUNDS & DISPUTES

WEEKS 5-12 (Days 31-90): CGD Vibes will:
✓ Provide weekly detailed reports every Monday on resolution progress
✓ Include specific milestones achieved and remaining obstacles
✓ Offer pro-rated refunds for periods when core platform functionality unavailable (see below)
✓ Enable data export capabilities for users who wish to transition to alternatives
✓ Provide clear decision points: continue operations, terminate, or transfer to alternative platform
✓ If affecting >100 users materially, consult with user representatives or advisory group
✓ Maintain open communication channels with dedicated support team
